By-Laws of The Home Course Men's Golf Club

The Home Course Men’s Golf Club is a non-profit corporation associated with The Home Course in DuPont, Washington and is governed by the following By-Laws:

 

The purpose of The Home Course Men’s Golf Club is to promote and sponsor competitive and recreational golf, good sportsmanship, and associated activities as authorized by its members under its own rules, the rules of the WA Golf (Previously Washington State Golf Association) and the United States Golf Association.

 

The Home Course Men’s Golf Club shall not discriminate on the basis of race, color, religion or national origin.

 

Article I ― MEMBERSHIP

Section 1.  Privileges of Members.  All members in good standing shall be entitled to all privileges of the club, as applicable, and those special privileges allowed by the owners and operators of The Home Course.

 

Section 2.  Age of Applicants.  All applicants for membership must be eighteen 18 years of age or older.

 

Section 3.  Procedure for Application.  All prospective members must apply and complete an online  membership application through WA Golf that includes applicant’s name, address, age, telephone number, email address, previous golf club membership and GHIN number, if any.  All applications shall be subject to approval by the Executive Board.

 

Section 4.  Honorary Memberships.  The Executive Board may confer honorary memberships upon those whom they feel have contributed to the advancement of golf.  A unanimous affirmative vote of the Executive Board shall be required to approve such action.

 

Section 5.  Obligations of Members.  It shall be the obligation of all members to maintain their club dues, honor these by-laws and conduct themself in a gentlemanly and sportsmanlike manner.  All members are required to follow the procedures of the World Handicap System for posting scores in order to receive Handicap Indexes from the club and to play all rounds according to the Rules of Golf.

 

Section 6.  Expulsion and Discipline.  The Executive Board, by a vote of two-thirds of the Board members then qualified and acting, shall have the power to suspend or expel any member of the club for any violation of the By-Laws, or for any conduct unbecoming a member, or which may be prejudicial to the best interests of the club; provided that before such action, the Board shall give at least two weeks notice in writing, by registered mail, to such member of the time and place when he may appear before the Board in his own defense.

 

Section 7.  Membership Ownership.  Memberships in the club are individual and non-transferable.

 

Section 8.  Length of Membership.  Membership in The Home Course Men’s Golf Club is for a calendar year, with all memberships expiring on December 31.

 

Article II ― EXECUTIVE BOARD

The club shall be governed and managed by the Executive Board which shall consist of the following members:  President, Vice-President, Secretary, Treasurer, Immediate Past-President, Handicap Chair, Tournament Chair and seven (7) Members at Large.  The Tournament Chair and the Handicap Chair shall be appointed by the officers of the club while all other positions shall be elected from the membership according to the rules for elected positions.

 

Section 1.  Responsibilities.  The Executive Board shall manage the club and its business; pass upon memberships and take disciplinary action of its members when necessary; recommend to the members changes in these By-Laws; schedule special meetings; and generally operate, manage and administer the affairs of the Club.

 

Section 2.  Conditions.  Any elected officer who is absent for three (3) consecutive meetings, either executive or general, without satisfactory reason according to the judgment of the majority of the Executive Board, shall have his position declared vacant.  The Executive Board shall have the power to appoint a club member in good standing to fill out the unexpired term.

 

Section 3.  Officers and Duties

 

Terms and Duties of Office.  The President, Vice-President, Secretary, Treasurer shall serve for ONE YEAR.    The Board Members at Large shall serve for TWO YEARS.

 

Duties of the President.  The President shall preside at all meetings of the club.  He shall exercise general supervision, direction, managerial discretion, oversee all communications, contracts, agreements and expenditures as necessary to officiate club business and other club activities.  The President shall also appoint an auditor or Finance committee to perform a regular audit of the Secretary/Treasurer’s records.

 

Duties of the Vice-President.  The Vice-President shall assist the President and perform such duties as may be requested by the President.  He will serve as chair of meetings during any absence of the President, and shall automatically assume that office if the office of President is declared vacant by the Executive Board.  He will serve out the balance of the term.

 

Duties of the Secretary.  The Secretary shall record and keep on file accurate minutes of all meetings and shall be prepared to read or present them at meetings when requested by the President. 

 

Duties of the Treasurer.  The Treasurer shall be the custodian of all financial properties, monies, or other assets of The Home Course Men’s Golf Club.  He shall receive all monies paid to or collected for the club.  He shall keep accurate records of all financial transactions involving the receipt or disbursement of funds as required.  He shall receive all debts presented to The Home Course Men’s Golf Club and present them to the Executive Board for their approval.  He shall prepare payments for debts as required, mail or deliver remittance, accept receipts, and file for reference.  He shall receive and keep on file for reference all communications directed to the club.  He shall also keep a roster of members including addresses and telephone numbers.  He shall perform all other financial activities for the Home Course Men’s Golf Club as requested by the President.

 

Duties of the Board Members at Large.  The duties of the Board Members at Large are to assist the President in capacities that he shall determine.  They shall be available to assume chairs of various committees as requested.

 

Duties of the Handicap Chair.  The Handicap Chair shall have the responsibility to administer a fair and proper system of handicaps in accordance with procedures set forth in the World Handicap System.

 

Duties of the Tournament Chair.  The Tournament Chair shall be responsible for administering all Club Tournaments in a fair and equitable manner and for putting together a “Committee” for the purpose of interpreting the Rules of Golf and generally managing all club tournaments.

 

Compensation.  The President, Secretary, Treasurer, Tournament Chair and Handicap Chair may receive compensation from each member’s annual dues for their respective services with the exact amount to be determined by the Board.  Payment for these services shall be made at the end of each year.

 

Section 4 Vacancies

In the case of any vacancy except for President, through death, resignation, disqualification or other cause, the remaining board members shall elect a successor by majority vote to hold office for the unexpired term of the board member whose place shall be vacant, and until the election of his successor.

 

 

 

 

Article III ― MEETINGS AND ELECTIONS

Section 1.  Elections Prior to the Annual General Membership meeting the President shall solicit, via electronic email, nominations from the members for the Executive Board.  (President, Vice President, Secretary and Treasurer) All names received via email will be considered during the General membership meeting for vote.  In addition to names collected via email solicitation, a slate of prospective candidates may be constructed by the Executive Board for consideration by the general membership at the General Membership meeting. Only candidates currently serving on the Executive Board or having previously served on the Executive Board, or a designated Board committee are eligible for the position of Club President.
 

Section 2.  Voting The election of Officers shall be conducted by the Election Chairperson who is the current President or Vice President, whomever is not running for President, of if both are running for President another Board officer not running for President. If a position is contested, a majority vote by a show of hands shall determine the winner. The Election Chair is the sole arbiter of vote tabulation, and his determination is final. The Election Chair shall announce the newly elected board at the General Membership meeting and newly elected Executive Board members shall assume their duties at the conclusion of the meeting.

 

 

Section 3.  Executive Board Meetings.  The Executive Board shall meet at such times and places as they may select and a majority of the Board shall constitute a quorum at any meeting.

 

Section 4.  Meeting Times.  The Annual Membership Meeting of The Home Course Men’s Golf Club shall be no later than the last week of November, with the specific date to be determined by the Executive Board.  The Executive Board shall provide for the holding of such other meetings as may be deemed necessary or desirable.

 

Section 5.  Fiscal Year.  The fiscal year of The Home Course Men’s Golf Club shall be January 1 through December 31.

 

Article IV ― RESPONSIBILITIES OF THE CLUB

Section 1.  Claims.  Neither the club or its members shall be responsible for any claims either to person or to property caused by accident or any activity conducted by the Club or its officers or members.

 

Section 2.  Indemnification.  The Home Course Men’s Golf Club has the power to indemnify and to purchase and maintain insurance for, its directors, officers, trustee, employees, and other persons and agents and (without limiting the generality of the foregoing) shall indemnify its directors against all liability, damage, and expenses arising from or in connection with service for, employment by, or other affiliation with this club or other firms or entities to the maximum extent and under all circumstances permitted by law.

 

Article V ― AMENDMENTS TO BY-LAWS

Section 1.  The Executive Board shall have the power to recommend any changes to these By-Laws provided that such action shall not be effective until approved by a majority vote of the members of The Home Course Men’s Golf Club present at the Annual Meeting held in accordance with the provisions contained herein.
