THE VIEWS WOMEN'S GOLF CLUB BYLAWS

       

         Article 1- Name

 

 

Name: The name of this organization shall be The Views Women's Golf Club, (TVWGC).

 

Article II-Object

 

The object of the club shall be to promote an interest in eighteen-hole competition and to provide fellowship through regular play and competitive events, while incorporating fun, social and charitable activities.

 

      Article Ill-Members

 

Section 1.  Membership shall be open to any woman who has paid the applicable dues to

                 The Views Women's Golf Club. Membership shall be in two categories:

                   a.  Full Membership – Open to any woman actively playing golf who has                                                     paid the applicable fees.

                   b.  Social Membership – Open to any non-playing/former TVWGC members                                            who have paid the applicable fee.

 

Section 2.  Members shall have paid current annual dues. Annual dues shall be

                  proposed by the club officers. All initial dues or changes to the amount must 

                  be approved by a majority vote of those present and voting at a regular or

                  special club meeting.

 

Section 3. The club will provide for a Social Membership, which allows such members,

                 on payment of the Board determined dues, to participate in social activities and                   

                 be listed in the club directory. This membership does not have voting privileges                  

                 and is primarily for past 18 hole members who are no longer able to play but                  

                 would like to participate in social activities of the club.

 

Section 4.  Any full member shall be entitled to vote at any regular or special meeting   

                  of the Club, and to participate in all Club events upon compliance with all                                       regulations.  Full members must have played at least five (5) times during  

                  the current league season to be able to hold an elected office in the next                                     league year.  Social members may not vote, hold office, or be appointed           

                  to any Standing Committee.  Club business shall be decided by a majority   

                  vote of those present and voting. 

 

Section 5.  Prospective members may play two (2) times with TVWGC before

                  making a commitment to join. Prospective members are guests and as

                  such are not eligible to compete in the game of the day.

 

 Article IV-Officers

 

Section 1.   The elected officers of the club shall consist of President, Vice President,                                               Secretary, Treasurer, and Handicap Chairperson. Officers shall also include

                   Tournament and Rules Chairpersons appointed by the President.

 

Section 2.  Term of office: All elected officers shall hold office for a term of one (1) year                                           and may be elected to the same office for not more than two (2) consecutive

                  terms. No member shall hold more than one (1) office at a time.

 

Section 3.   Officers must be members of The Views Women's Golf Club.

 

         Article V-Governing Body

 

Section 1.  The governing body of the club is the Board of Directors, hereinafter

                  referred to as "the Board", which consists of the following: President,

                  Vice President, Secretary, Treasurer, Handicap, Tournament, and Rules

                  Chairpersons.  All shall have voting privileges.

 

Section 2.   It shall be the duty of the Board to conduct, manage and control the affairs

                  and business of the club between meetings of the regular membership.

 

Section 3.   Meetings:

                   a.  The Board shall meet monthly, unless otherwise designated.

                   b.  There shall be a joint meeting of the outgoing and incoming Boards                             

                        held before May 1.

 

Section 4.   Quorum: Four (4) members of the Board shall constitute a quorum to have a

                   meeting.  A quorum of 5 members in person or present via electronic

                   communication of the Board is required to make motions and take a

                   vote. Absent Board members may participate and vote in meetings via 

                   electronic communication or by assigning their voting rights via written

                   notice to a Board member present at the meeting. 

 

Section 5.    Vacancies occurring in any office, other than President, shall be appointed by the                     Board. Should the President resign, the Vice President will automatically assume

                    that office.

 

            Article VI-Nominations and Elections

 

Section 1.    By the end of January, the Board shall appoint a Nominating Committee,

                    Chairwoman, usually the past President.  The Nominating Committee                                                     Chairwoman shall appoint 2 to 3 Nominating Committee members to  

                    serve on the committee

 

Section 2.   The slate of officers proposed by the committee shall be emailed and posted on                 

                   line in Golf Genius at least two weeks prior to the March election meeting.

 

Section 3.    Nominations may be made from the floor with the consent of the nominee.

 

Section 4.    A majority of those members, present and voting, shall elect. In the case of

                    multiple candidates for a given office, the vote shall be by written ballot. In

                    some instances, two women may share an office, to provide adequate

                    coverage. Only one (1) vote per office.

 

Section 5.    The elected board shall assume office May 1.

 

Article VII-Duties of  Officers

 

                   Section 1.   President.  The President shall be the chief administrator of TVWGC and preside       

                                      over all Regular and Board meetings and have voting privileges.  In addition, she shall

  •        Be an ex-officio member of all committees except the Nominating Committee;
  •        Appoint, with Board approval, the chairpersons of the Standing Committees and, at the           direction  of the Board or membership, appoint special committees;
  •        Appoint a committee of three (3) to audit the outgoing treasurer’s books;
  •         Read the Treasurer’s report in her absence;
  •   Schedule facilities usage with the activities director;
  •   Negotiate and sign for all contracts;
  •   At the end of term continue in an advisory capacity for the new Board.
  •   Prepare a written report and deliver all records, procedure books and other  property belonging     to the club to their successor.  Documents will be archived for 3 years.

 

              Section 2.   Vice President.  The Vice President shall assist the President and, in her absence,  

                                 perform the duties of that office.  In addition, the Vice President shall

                            Serve as Membership Chairperson of the club;

Prepare and maintain membership applications and roster;

Meet with new members.

Maintain membership cancellation and no show records.

Prepare a written report and deliver all records, procedure books and other property belonging to the club to their successor.  Documents will be archived for 3 years.

 

Section 3.   Secretary.  The Secretary shall record and post the minutes of regular and special

                   meetings of the Board and membership.  In addition, she shall

  • Be in charge of all records of TVWGC other than the Treasurer’s;
  • Be responsible for correspondence as requested by members of the Board;
  • Make available any reports required by TVWGC including copies of Bylaws, Standing Rules, Club Local Rules, meeting agendas and meeting minutes;
  • Prepare a written report and deliver all records, procedure books and other property belonging to the club to their successor.  Documents will be archived for 3 years.

 

Section 4.   Treasurer.  The Treasurer is the chief financial officer and shall be responsible for

                   collecting the annual dues of the members and other monies.  In addition, she shall

  • Pay all bills owed by TVWGC;
  •  Notify the Tournament, Handicap and Membership Chairpersons of all paid

      members at regular intervals;

  • Present the TVWGC financial report at each meeting of the Board and membership;
  • Coordinate end-of-the-season cash payouts with the Handicap Chairwoman and Tournament Chairwoman;
  • Prepare a written report and deliver all records, procedure books and other property belonging to the club to their successor.  Documents will be archived for 3 years.

 

Section 5.   Handicap Chairperson.  The Handicap Chairperson is responsible for all aspects of

                   the USGA Handicap System and will insure the proper recording of all scores to 

                   promote fairness in competition. In addition, she shall

  • In accordance with the USGA Club Handicap Certification Requirement, insure the Club has at least one member certified within the current two (2) year AGA certification term.
  • The Club shall pay the fee to the AGA for one person to be certified and the Club is encouraged to certify more than one person, if possible.  The certified person does not necessarily have to be the Handicap Chairperson.
  • Coordinate end-of-the-season cash payouts with the Tournament Chairwoman and Treasurer;
  • Education for members on how to maintain their handicap according to the rules of handicapping
  • Correcting scores posted incorrectly.
  • Running appropriate reports as requested by the tournament chair, such as most improved players.
  • Assist in assuring all members have an AGA membership and deactivating non-renewing members in December.
  • Member of the The Views Golf Club handicap committee.  Consisting of men’s and women’s 18 and 9 hole leagues.
  • Prepare a written report and deliver all records, procedure books and other property belonging to the club to their successor.  Documents will be archived   for 3 years.

 

Section 6.   Tournament Chairperson.  The Tournament Chairperson is responsible for managing                    the weekly play day schedule and all major tournaments.  In addition she shall

  • Develop the coming year's schedule of play days and meet with the club pro in the spring to ensure all proposed games are compatible with Golf Genius.
  • Work closely with the pro shop to ensure the check in process and weekly game payout schedules run smoothly.    
  • Select captains for the Solheim Cup who will serve for two years.
  • Present the low-net awards and break pins at each monthly meeting and report on upcoming tournaments.
  • Coordinate end-of-the-season cash payouts with the Handicap Chairwoman and Treasurer.
  • Prepare a written report and deliver all records, procedure books and other property belonging to the club to their successor.  Documents will be archived for 3 years.

 

Section 7.    Rules Chairperson. The Rules Chairperson is responsible for understanding and                                           applying the USGA Rules of Golf to all TVWGC competitions.  In addition she shall

        • Serve as the Rules Official/Committee for all TVWGC tournaments
        • Liaison with the AGA, attend provided Rules seminars. Interpret and communicate the application of the Rules of Golf to the Membership.
        • Prepare a written report and deliver all records, procedure books and other property belonging to the club to their successor.  Documents will be archived for 3 years.

 

Article VIII-Committees

 

Section 1.    The Standing Committees are: Tournament, Rules, Membership, Social and                         others deemed necessary. Committee chairpersons shall be appointed by                                         the President with Board approval.

 

Section 2.     Unless otherwise provided for in these bylaws, members of each committee shall be appointed by the chairperson.

 

Section 3.     Each committee shall maintain an up-to-date procedure book, which shall describe the duties of the chairperson and the committee.

 

Article IX-Fiscal and Finance

 

Section 1.    The fiscal year shall be November 1st through October 31st.

 

Section 2.     An annual audit of the treasurer's books shall be made by a committee of three (3) appointed by the President. The audit shall be made by the end of the fiscal year and shall be reported to the membership at the next regular meeting of the membership.

 

Section 3.    At the end of the League golf season, April 30th, the ending unallocated account balance shall be at least $300.00 and not to exceed $1000.00.

 

Section 4.    Annual dues shall be payable on or before November  1st   of each year. Dues are delinquent November 2nd. Members paying dues after November 1st will be subject to a late payment fee (to be designated by the Board) except for someone joining as a member for the first time. Players may not participate in Tuesday competitions until dues are paid.  A special assessment may be levied, if the current handicap system should increase costs.

  • AGA dues are payable on or before December 31st and paid directly to the AGA.  A direct link is available thru Golf Genius.

 

Section 5.     The annual dues, plus any current handicap charges, become due and payable from any person joining TVWGC at any time during the year. The Board may prorate dues for new members joining after the start of the season.

 

Section 6.    Budget

  1. The Board shall prepare a budget to be approved by the membership no later than the December meeting, unless otherwise designated.

 

  1. The budget may be revised as needed during the year with the approval of the Board and membership.

 

  1. No single un-budgeted expenditure in excess of two hundred

     ($200.00) shall be made without the approval of the membership.

 

Section 7.    The Treasurer, President and Vice President shall be authorized to sign checks.

 

Section 8.    No member of the club shall receive compensation for services rendered. 

 

 

      

             Article X-Meetings

 

Section 1.    The Board shall conduct open monthly meetings where all issues presented by the members shall be discussed and be taken under consideration by the Board. Business and/or social meetings shall be held the first Tuesday of each month, unless otherwise designated, during the November through April playing season.

 

Section 2.    The end of the season/annual meeting shall be held in April, unless otherwise designated by the Board.

 

 

Section 3.     Special meetings may be called at any time by the President or by any two (2) members of the Board provided notice of such meeting has been given by e-mail, at least five (5) days prior to the day of such meeting.                             

 

                                    Article XI-Rules of Play and Eligibility

 

Section 1.    The current USGA Rules of Golf shall govern all play. Local rules may be adopted as needed as long as they do not waive any penalty imposed by USGA Rules.

 

Section 2.  To be eligible to compete in the Club Championship/State Medallion, a member shall have played at least five (5) eighteen-hole rounds on Tuesdays during scheduled play, and have an established USGA handicap.

 

Section 3.    To be eligible for the Presidents Cup, members must be active with TVWGC and play in a minimum of 2 winter league play dates prior to the start of the President Cup matches.

 

Section 4.    To be eligible in weekly events, a member shall have a USGA handicap. In addition, member must be an amateur according to USGA Rules of Amateur Status.

 

Section 5.       Competition from the approved Tee boxes will be conducted in accordance with USGA guidelines.

 

Section 6.    Handicaps shall not exceed 40 for any club event.

 

 

   

 

 

 

 

 

    Article XII-Parliamentary Authority

 

Roberts Rules of Order, shall be the authority on all questions of parliamentary law unless in conflict with these Bylaws, or with the laws of the state of Arizona.

 

  Article XIII-Amendments

 

These Bylaws may be amended by a two-thirds (2/3) vote of the members present and voting, at a regular or annual meeting of TVWGC provided written notice of each proposed amendment, or proposed new Bylaws, has been posted on line in Golf Genius and emailed to the membership two (2) weeks prior to the meeting.

 

Article XIV-Dissolution

 

In the event of dissolution of this club, all assets will be donated to an approved charity by a majority vote of those present at a special club meeting.  

 

Dissolution will not be initiated until all outstanding debts are satisfied. The President may direct the use of any and all assets to satisfy outstanding debts, provided the majority of the club membership has voted for the President to do so.

 

If dissolution is contemplated, the membership must be notified at least two (2) weeks in advance of the meeting date and time.
